Agreement for embodied companion technology.

Please read these Terms of Service carefully before purchasing or ordering KOIBOT hardware, accessing Amoria companion services, or using the setup applications.

1. Acceptance of Terms

By purchasing or placing an order for any KOIBOT robot (including the ROLA Series), downloading associated mobile or web setup applications, or initiating Amoria companion services, you agree to be bound by these Terms of Service. For customer sales and order fulfillment, the contracting seller and seller of record is REON ROBOTICS (HONGKONG) CO., LIMITED, unless a specific order confirmation or written notice states otherwise. KOIBOT is a brand of REON ROBOTICS CO., LTD. (Japan).

If you are purchasing or using our hardware on behalf of a business, educational institution, or public showcase space, you represent that you possess the authority to bind that entity to these Terms. If you do not agree to all conditions herein, do not unpack the robot hardware or activate the cloud companion services.

2. Seller of Record & Company Structure

KOIBOT is the product and brand platform of REON ROBOTICS CO., LTD. (Japan). Customer sales, official order fulfillment, shipping coordination, returns, warranty coordination, and related customer support are handled by REON ROBOTICS (HONGKONG) CO., LIMITED, unless a specific written notice states otherwise. Products may be fulfilled from Hong Kong or the Chinese mainland depending on inventory, production, and logistics arrangements.

For purchase, payment, shipment, return, warranty, and seller-of-record matters, references to “KOIBOT”, “we”, “us”, or “our” in these Terms may include REON ROBOTICS (HONGKONG) CO., LIMITED and its affiliated REON Robotics entities as applicable.

3. Eligibility & Account Security

KOIBOT embodied AI companion robots generate dynamic verbal interactions and behaviors via the Amoria AI cloud layer. Consequently, purchase and ownership of a KOIBOT, and activation of an Amoria configuration profile, are strictly restricted to individuals who are at least 21 years of age.

During the setup phase, you create an owner account in the companion app. You are solely responsible for:

  • Maintaining the confidentiality of your account credentials and robot pairing tokens.
  • Restricting access to the robot configuration software.
  • All activities, conversations, and physical command modifications executed under your profile.

4. Hardware & Software Licensing

A KOIBOT purchase consists of two distinct components: physical hardware (the robotic chassis, motors, joints, and outer shell) and embedded digital software (firmware, local sensor scripts, and the Amoria AI cloud connection).

Physical Hardware: Upon payment and delivery, title to the physical components of the robot transfers to the customer, subject to our standard hardware warranty policy.

Embedded Software and Amoria AI: The digital components, firmware, and Amoria AI model connection are licensed, not sold. KOIBOT grants you a limited, non-exclusive, non-transferable, revocable license to run the embedded firmware solely on your purchased hardware unit for personal or authorized business showcase purposes. You agree not to:

  • Reverse engineer, decompile, or attempt to extract the source code of the robot's firmware, joint-actuator calibration scripts, or voice synthesis routines.
  • Modify or flash unauthorized software onto the robot's controllers.
  • Bypass any digital rights management or pairing authentication systems.

5. Amoria AI Services

Amoria is a cloud-connected, generative AI emotional dialogue system. It parses user voice inputs, translates intent, manages conversational memory, and coordinates physical movements (such as the KOIBOT Smart Head tracking eye contact).

Simulated Companionship: You acknowledge that all companion behaviors, vocal lines, and emotional reactions are artificial simulations. Amoria is designed for entertainment, emotional accompaniment, and general productivity assistance. It does not provide medical, mental health, legal, financial, or other professional advice.

Generative Hallucinations: Because Amoria utilizes advanced neural network pipelines, its conversational outputs may occasionally include inaccurate, unexpected, or fictitious statements. KOIBOT does not guarantee the truthfulness, accuracy, or suitability of any conversation generated by the cloud companion service. Do not rely on the service in emergency or life-safety situations; for matters concerning health or safety, consult a qualified professional.

6. User Conduct & Physical Safety

KOIBOT products contain high-torque actuators, moving mechanical joints, and sensitive audio-visual sensors. You agree to use the robot responsibly and adhere to the following safety protocols:

  • Stable Surface Placement: Robots must be positioned on flat, stable surfaces in dry indoor environments. KOIBOT is not responsible for damage caused by tipping, drops, or falls.
  • No Mechanical Modifications: Do not attempt to override motor current limits, increase joint velocity profiles beyond factory settings, or modify physical safety governors.
  • Harmful Behaviors: Do not use the robot or configure its Amoria AI personality to generate threatening, harassing, abusive, or explicitly illegal physical behaviors or dialogue.
  • Public Showcases: When displaying KOIBOT in public showrooms, exhibitions, or retail spaces, you must display clear signage indicating that the robot is an AI-guided device that responds to nearby people with head and facial movement and voice.

Non-Sexual Companion Policy: KOIBOT and Amoria are designed as non-sexual companions. KOIBOT maintains a zero-tolerance policy toward using, modifying, or representing the products or the Amoria AI for sexual, pornographic, or otherwise obscene purposes. Customers must not tamper with or circumvent the products’ safety designs or limitations, and must not use AI outputs to impersonate, defame, or harm real individuals or for any unlawful purpose.

7. Sensory Privacy & Data Processing

To deliver expressive eye-contact tracking, voice-activation wakeups, and contextual awareness, KOIBOT integrates local camera sensors, microphone arrays, and proximity sensors.

Local vs. Cloud Processing: Voice commands and image structures are processed locally on the hardware or sent to the secure Amoria AI cloud service depending on your settings. We do not store continuous raw audio or video feeds unless explicitly authorized for diagnostics. Read our Privacy Policy for full transmission details.

User Privacy Controls: You retain meaningful controls over sensory inputs. You can physically mute the microphone array or slide the camera privacy lens cover closed at any time. Restricting sensory inputs may limit Amoria's ability to track objects or respond to voice commands.

8. Limitation of Liability

To the maximum extent permitted by law, KOIBOT, its founders, and affiliates shall not be liable for any indirect, incidental, special, exemplary, or consequential damages arising out of your hardware purchase or cloud companion service use.

This includes, without limitation, any liability for:

  • Personal injury, property damage, or hardware failure resulting from placing the robot in unstable locations, exposure to moisture, or overriding physical safety scripts.
  • Emotional distress or psychological issues connected to interactions with Amoria AI.
  • Loss of profits, business interruptions, or data leaks resulting from cloud connectivity failures or server maintenance downtimes.

KOIBOT's total aggregate liability under these terms shall not exceed the total amount paid by you for the specific hardware unit or the active Amoria subscription during the twelve (12) months preceding the claim.

9. Orders, Product Information & Related Policies

Product descriptions, images, videos, specifications, delivery estimates, and availability may change as products are refined. KOIBOT aims to present accurate information, but minor differences may occur due to handcrafted finishing, display settings, production updates, configuration changes, or regional requirements.

Orders are subject to acceptance, payment confirmation, product availability, compliance review, and shipping feasibility. KOIBOT may refuse or cancel an order if information is inaccurate, payment fails, shipping is unavailable, fraud or abuse is suspected, or applicable laws restrict the transaction.

Customers are responsible for providing accurate shipping, billing, customs, and contact information, and for import duties, VAT, customs fees, local taxes, brokerage fees, remote-area fees, and local compliance requirements unless otherwise stated in a written order confirmation. Unless otherwise agreed in writing, orders ship on a DDU basis (delivered duty unpaid — corresponding to DAP under Incoterms® 2020) with international freight included; for single-unit orders, KOIBOT may offer all-inclusive DDP delivery, as stated in the written order confirmation. Orders are contracted with REON ROBOTICS (HONGKONG) CO., LIMITED (Hong Kong SAR); for certain large-scale or project orders, contracting through REON ROBOTICS CO., LTD. (Tokyo, Japan) may be arranged and will be stated on your order documents.

All website content, product designs, product names, trademarks, media, and brand materials are owned by KOIBOT or its licensors and may not be copied, reproduced, distributed, or used without written permission.

These Terms should be read together with KOIBOT’s Refund and Return Policy, Shipping Policy, Limited Warranty, Privacy Policy, Fair Use Policy, and any product-specific instructions or notices.
